Shermin Chen is a Senior Associate in CMS’ corporate team. She advises on corporate and commercial transactions such as mergers and acquisitions, joint ventures, corporate finance and restructuring, as well as capital markets transactions including debt and equity offerings across Asia for both issuers and investment banks. She acts for a wide range of clients across various industry sectors including marine, offshore and energy, financial services, real estate, construction, manufacturing, retail and technology. Prior to joining CMS, Shermin worked as an in-house counsel at a global resource-based industrial group and at leading international law firms where she counselled clients on complex cross-border mergers and acquisitions, as well as corporate finance matters.

Relevant experience

  • Alpha Energy Holdings Limited in various transactions worth US$101.9 million as part of the company’s plan to consolidate its working interest in Mustang Field, an oil prospective project in Alaska. 
  • Geo Energy Resources Limited in the acquisition of 100% shareholding interest in Fortune Coal Resources Pte. Ltd. for an aggregate consideration of US$90 million.
  • Ekuiti Nasional Bhd’s acquisition of a controlling stake in electronic turnkey and components manufacturer Flexi Versa Group Sdn Bhd for RM330 million.
  • PT Indonesia Asahan Aluminium (Inalum), Indonesia’s state-owned mining company, as issuer’s counsel in connection with its US$2.5 billion multi-tranche bond offering, comprising US$1 billion 4.975% five-year bonds, US$1 billion 5.75% ten-year bonds and US$500 million 6.325% thirty-year bonds.
  • PT Bayan Resources Tbk, one of Indonesia’s largest coal producers, as issuer’s counsel in connection with its inaugural US$400 million 6.125% senior notes due 2023.
  • Union Gas Holdings Limited as issuer’s counsel in its initial public offering on the Catalist Board of the Singapore Exchange.
  • iFAST Corporation Ltd. as issuer’s counsel in its initial public offering on the Mainboard of the Singapore Exchange.
  • Vallianz Holdings Limited in its capital markets fundraising via a renounceable non-underwritten rights cum warrants issue raising proceeds of up to S$143.3 million.
  • TA Corporation Limited in its capital markets fundraising via a renounceable underwritten rights issue of approximately 120 million new warrants. 
  • Charisma Energy Services Limited in a first-of-its-kind concurrent fundraising via a renounceable non-underwritten rights issue of approximately 1.5 million new warrants and placement of up to 1 million new warrants, raising S$9.35 million.
